Davis Polk advised Merrill Lynch, Pierce, Fenner and Smith Incorporated, RBC Capital Markets, LLC and SunTrust Robinson Humphrey, Inc. as joint lead arrangers and bookrunners in connection with the USD130 million amended senior secured credit facilities and the USD250 million senior unsecured bridge facility to be provided to an acquisition subsidiary of The Providence Service Corporation to finance, in part, Providence's acquisition of the equity interests of CCHN Group Holdings, Inc. and to repay existing indebtedness of Matrix. The credit facilities will be guaranteed by certain subsidiaries of Providence and will be secured by all of the assets and stock of the guarantors thereunder.
